Terms of Service

Welcome to RE/UGC (the “Service”), operated by RE/UGC. These Terms of Service (“Terms”) govern your access to and use of the Service, including the RE/UGC website, the reaction-clip library, and any content, features, and functionality we provide. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. The Service

RE/UGC provides a library of short, user-generated-content-style reaction clips (“Clips”) for use in marketing, advertising, and product content. The Service is provided “as is” and “as available,” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure.

2. Accounts

Some features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms, at our sole discretion.

3. Ownership and Use of Clips

After payment, you own the Clips you purchase and download. You may use, copy, edit, and incorporate them into personal or commercial content without ongoing fees or usage limits, including social media posts, paid advertisements, product demos, websites, and marketing campaigns. You may also use them for your own clients when creating content on their behalf.

Ownership of the purchased Clips does not include permission to resell or redistribute the raw Clips as a standalone library. Content you create with the Clips may be published, delivered to clients, and used in your personal or commercial work.

4. What You May Not Do

You may not, at any time, without our prior written consent:

• Resell or redistribute the raw Clips themselves as standalone stock, clip, or reaction libraries, whether on a marketplace, a stock-content platform, or any other service;
• Offer the raw Clips for download, sale, or license to third parties as a standalone asset collection;
• Make the raw Clips available through a service that lets third parties access them for their own independent use;
• Use the Clips in a way that implies endorsement by, or affiliation with, RE/UGC or any person depicted, unless you have obtained the appropriate permissions;
• Use the Clips in unlawful, defamatory, or deceptive content, or in a manner that infringes the rights of any third party;
• Attempt to reverse-engineer, scrape, or extract the underlying library or metadata in bulk.

In short: you own the Clips you purchase and may use them personally or commercially without ongoing fees or usage limits. You may not resell or redistribute the raw Clips as a standalone library.

5. Content Availability and Removal

Access to the Clips is provided through the Service only. We make no guarantee that any particular Clip will remain available for any period of time. RE/UGC or its licensors may remove, replace, update, or change any Clip or feature at any time, with or without notice, for any reason, including changes in rights, licensing, or availability.

It is your responsibility to download and securely store any Clips you intend to use before they are removed. We are not liable for any loss arising from the removal, unavailability, or modification of any Clip. Your ownership and use rights under Section 3 apply to Clips you purchased and downloaded before any removal.

6. Intellectual Property

The Service, including its software, design, text, graphics, logos, and library structure, is owned by RE/UGC or its licensors and is protected by copyright, trademark, and other intellectual-property laws. This section does not limit your ownership and permitted use of Clips purchased and downloaded under Section 3.

7. Payment and Refunds

Access to the full library is offered as a one-time payment. Prices are stated at the time of purchase and may change for future purchasers. We offer a 7-day refund from the date of purchase for customers who are not satisfied, subject to reasonable verification. Refund requests can be submitted by emailing us at the address provided on the site.

8. Third-Party Content and Services

The Service may link to or use third-party services (for example, payment processing, analytics, or hosting providers). We are not responsible for the content, availability, or practices of those third parties, and your use of them is subject to their own terms.

9. Disclaimer of Warranties

To the fullest extent permitted by law, the Service and all Clips are provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not warrant that the Clips will meet your requirements, that they are free of errors or defects, or that your results from using them will be as expected. You assume all risk arising from your use of the Service and the Clips.

10. Limitation of Liability

To the fullest extent permitted by law, RE/UGC, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability to you for all claims arising out of or related to the Service shall not exceed the amount you actually paid for access to the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless RE/UGC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your content, including your commercial use of the Clips.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, the license granted in Section 3 survives with respect to Clips you have lawfully downloaded before termination, subject to Section 4.

13. Changes to These Terms

We may update these Terms from time to time. We will indicate the date of the latest revision at the top of this page. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which RE/UGC is established, without regard to conflict-of-law principles. Any disputes shall be resolved in the competent courts of that jurisdiction.
